Gastte Distance Sales and Subscription Agreement

This agreement governs the rights and obligations of the parties regarding the electronic sale of subscription plans for the Gastte artificial intelligence–assisted news publishing platform. It is concluded when you tick the "I have read and accept" box on the plan selection screen and start the payment step. The terms of use of the service are set out separately in the Gastte Service and Subscription Agreement; these two documents apply together.
1. Parties
1.1 Seller (Service Provider): Fibrika Reklam Hizmetleri Limited Şirketi (under the "Gastte" brand) — Address: Yaka Mah. Aziz Mahmut Hüdai Cad. No:185/102 Meram / Konya — Tel: 0332 302 85 75 — Email: destek@gastte.com — MERSİS: 0387119748100001 — Tax ID (VKN): 3871197481 (Mevlana Tax Office).
1.2 Buyer (Customer): The natural or legal person whose name, title, address, tax and contact details appear on the plan selection screen. The Buyer declares that this information is accurate.
2. Legal Status of the Buyer: Merchant or Consumer?
2.1 Merchant and commercial-purpose Buyer. Gastte is a professional and commercial service used to operate a news publication. For this reason, the great majority of Buyers are merchants within the meaning of Turkish Commercial Code No. 6102 (TTK) or persons acting for commercial/professional purposes. For these Buyers, Law No. 6502 on Consumer Protection ("TKHK") and the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği) do not apply; the relationship is subject to the provisions of Turkish Code of Obligations No. 6098 (TBK), TTK No. 6102 and Law No. 6563 on the Regulation of Electronic Commerce. A Buyer placing an order on behalf of a legal entity or as a taxpayer accepts that it is acting for commercial purposes.
2.2 Consumer Buyer. If the Buyer is a natural person acquiring the service for non-commercial or non-professional purposes, the Buyer is a consumer within the meaning of the TKHK. In that case, the mandatory provisions of the TKHK and the Distance Contracts Regulation apply in place of any provisions of this agreement that are to the consumer's detriment; the withdrawal provisions in Article 5 are explained separately for consumers.
2.3 The Buyer declares in which capacity it is acting by selecting the invoice type (individual/corporate) on the plan selection screen. The Seller relies on this declaration.
3. Pre-contractual Information and Subject Matter of the Agreement
3.1 Main characteristics of the service. The subject matter of the agreement is the Gastte subscription plan selected by the Buyer on the plan selection screen: cloud-based management panel, news publication hosting (subdomain and custom domain connection), artificial intelligence news desk (with the Buyer's own artificial intelligence key), cover image, podcast and social media production tools, newsletter, backup and technical support. The content of the plan, the number of users, number of sites, storage and other limits are set out in the order summary and on the pricing page.
3.2 Nature of the service. The service is a continuous digital service whose performance begins instantly in an electronic environment, with no physical delivery. The account is activated and performance of the service begins as soon as payment is confirmed.
3.3 Price. The order summary shows the plan's period fee (monthly or annual), the amount excluding VAT, the applicable VAT rate and amount, and the total including VAT. The Buyer sees and confirms these amounts before starting payment. Prices are in Turkish lira.
3.4 No additional charges. The Seller charges no shipping, installation or similar additional fee. Fees paid by the Buyer to its own artificial intelligence provider, domain name registrar, news agency, social network platforms or bank are outside the scope of this agreement and are not attributable to the Seller.
3.5 Subscription term and renewal. The subscription is established for the selected period (1 month or 12 months) and automatically renews for the same period unless the Buyer cancels before the end of the period. The renewal fee is collected at the start of the period, from the stored card or via a bank transfer invoice. Any change in the renewal fee is notified at least 30 days in advance.
3.6 Trial. Before a paid plan, the Buyer is offered a 14-day free trial; the trial does not require card details and does not automatically convert into a paid subscription. By selecting a paid plan, the Buyer accepts that it has had the opportunity to examine the service during the trial period.
3.7 The Buyer accepts that it has read the pre-contractual information in this article on the plan selection screen before payment and has confirmed it electronically. This confirmation constitutes confirmation of pre-contractual information within the meaning of Art. 7 of the Distance Contracts Regulation.
4. Payment
4.1 Card. Card payments are taken on the infrastructure of PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., a payment institution licensed by the Central Bank of the Republic of Türkiye (TCMB), with 3D Secure authentication. Card details do not reach the Seller's servers and are not stored by the Seller. Card storage for renewals is carried out using PayTR's tokenisation service; the Buyer can remove it from the panel. Instalment options and bank commissions are shown on the payment screen.
4.2 Bank transfer/EFT. When bank transfer is selected, an invoice is issued; payment must reach the Seller's bank account within 7 days from the invoice date, with the customer number on the invoice as the payment reference. The service is activated when the payment is credited to the account. Bank charges are borne by the Buyer.
4.3 Invoice. After payment, an e-Archive invoice is issued and sent to the Buyer's registered email address and to the panel. The Buyer is responsible for the accuracy of the invoice details.
4.4 Late payment. If the renewal fee is not paid, the schedule in Article 7 of the Service and Subscription Agreement applies: day 0 reminder, day 7 read-only, day 30 suspension, day 60 termination.
5. Right of Withdrawal
5.1 Merchant and commercial-purpose Buyer. Since the TKHK does not apply, there is no statutory right of withdrawal. The Buyer declares that it has examined the service free of charge during the trial period and that it accepts the service by making payment. Cancellations and refunds are made only in the cases set out in the Gastte Cancellation and Refund Terms (full refund within the first 14 days for annual plans; cancellation at the end of the period for monthly plans).
5.2 Consumer Buyer. If the Buyer is a consumer, pursuant to Art. 15/1-(ğ) of the Distance Contracts Regulation, the right of withdrawal cannot be exercised "in contracts relating to services performed instantly in an electronic environment and intangible goods delivered instantly to the consumer". In addition, pursuant to sub-paragraph (h) of the same article, there is no right of withdrawal for services whose performance has begun with the consumer's approval before the withdrawal period expires. By confirming the payment, the Buyer expressly accepts that it requests that performance of the service begin immediately and knows that it will therefore lose its right of withdrawal. This express approval is obtained through a separate approval box on the payment screen and is recorded.
5.3 The trial period replaces withdrawal. To compensate for the absence of a right of withdrawal, the Seller offers every Buyer a free, no-obligation 14-day trial period. In addition, for annual plans cancelled within the first 14 days, a full refund is made regardless of the Buyer's legal status (Cancellation and Refund Terms, Art. 3).
5.4 The consumer Buyer's rights other than the right of withdrawal (defective service, information, review of unfair terms) are reserved within the framework of the mandatory provisions of the TKHK.
6. Performance, Defects and Liability
6.1 The service is performed by activating the Buyer's account upon confirmation of payment. The Buyer knows that the Service is provided on a "reasonable efforts" basis as described in Article 13 of the Service and Subscription Agreement and with the exemptions listed there.
6.2 If the service does not conform to the main characteristics specified in the agreement, the Buyer shall notify destek@gastte.com within 14 days from the date it becomes aware of this; the Seller shall remedy the non-conformity within a reasonable time. If it cannot be remedied, the Buyer has the right to a price reduction proportionate to the non-conformity or to rescind the agreement with a refund of the fee for the unused period. For the consumer Buyer, the elective rights under Art. 13 et seq. of the TKHK are reserved.
6.3 The Seller's liability arising from this agreement is subject to the limits in Article 14 of the Service and Subscription Agreement (fees for the last 3 months; excluding indirect damages). For the consumer Buyer, the mandatory provisions of the TKHK are reserved.
7. Buyer's Representations and Obligations
7.1 The Buyer accepts that it will use the service for its own news publication, that it is solely responsible for the content it publishes, that editorial responsibility for artificial intelligence outputs lies with it, and that it will comply with the Acceptable Use Policy.
7.2 The Buyer knows that the artificial intelligence features work with its own provider key and that the provider costs are borne by it; the order price does not include artificial intelligence usage fees.
7.3 The Buyer accepts that it may need to purchase add-on packages for usage exceeding the plan limits.
8. Termination of the Agreement
8.1 The Buyer may cancel its subscription from the panel at any time, with effect from the end of the period. After cancellation, the service continues until the end of the current period; it is not renewed.
8.2 The Seller may suspend or terminate the agreement in the cases set out in Article 16 of the Service and Subscription Agreement.
8.3 Upon termination, the Buyer's data can be exported during the 30-day closure window; thereafter it is deleted in accordance with Article 15 of the Service and Subscription Agreement.
9. Electronic Records and Evidence
9.1 The Buyer's order, approval and acceptance actions (date, agreement version, text hash value, IP address, browser information) are recorded by the Seller and constitute evidence that the agreement was concluded.
9.2 This agreement, the order summary and the invoice are sent to the Buyer's registered email address and kept permanently accessible in the panel (durable medium).
9.3 Pursuant to Art. 3 of Law No. 6563, the Buyer has the opportunity to see and correct the information entered in the order summary before placing the order; receipt of the order is confirmed without delay in the electronic environment and by email.
10. Dispute Resolution
10.1 This agreement is governed by Turkish law.
10.2 Merchant and commercial-purpose Buyer: The Courts and Enforcement Offices of Konya have jurisdiction over disputes. Pursuant to Art. 5/A of Law No. 6102, mediation as a precondition to litigation applies to commercial disputes.
10.3 Consumer Buyer: Within the monetary limits announced each year by the Ministry of Trade, the Consumer Arbitration Committee (Tüketici Hakem Heyeti) at the consumer's place of residence or where the transaction was carried out has jurisdiction; for disputes exceeding the limit, the Consumer Court has jurisdiction. Applying to a mediator is mandatory before filing a lawsuit in the Consumer Court (TKHK Art. 73/A).
10.4 Complaints and objections may first be submitted to destek@gastte.com or by telephone on 0332 302 85 75; the Seller responds to applications within 15 days at the latest.
11. Entry into Force
The Buyer accepts that, on the plan selection screen, it has read this agreement, the Service and Subscription Agreement, the Cancellation and Refund Terms and the KVKK Privacy Notice, has received the pre-contractual information, has understood the explanation concerning the right of withdrawal and has concluded the agreement by confirming the payment. The agreement enters into force at the moment the payment is confirmed.
